1. Who we are and who agrees

Vigil is provided by Beans-n-Beams ("we", "us"). You can reach us at vigil@beansnbeams.com. These terms are an agreement between us and the organisation that signs up ("you", "the Customer"). The person who accepts them confirms they are authorised to bind that organisation. Each person you invite also agrees to use Vigil within these terms, including the confidentiality terms in section 9.

2. Vigil is early-access software under development

Vigil is currently a demo, early-access version of software that is still being developed. By using it you understand that:

  • features may change, move, stop working or be removed without notice, and new features may be added that behave unexpectedly;
  • Vigil may be unavailable at times, including for updates, and may contain errors, including in what its AI reads and files;
  • we back up your data, but you should keep your own record of anything critical to your projects and not rely on Vigil as your only copy;
  • Vigil is provided "as is" and "as available" during early access, without any promise that it is fit for a particular purpose;
  • we may end early access, or move it to a paid plan, by giving you notice;
  • we may ask for your feedback, and you allow us to use any feedback you give to improve Vigil without owing you anything for it.

3. What Vigil does

Vigil connects to the email and WhatsApp accounts you choose, reads what arrives, files each item against the right project, and tells you what it found: decisions, open questions, commitments, changed dates and documents.

  • Vigil suggests; you decide. Schedule changes, field updates, document matches and most filing are offered to a person to accept or dismiss.
  • One automatic action. When Vigil is confident an email belongs to a project, it files it there itself. You can undo any such filing from the Desk, and Vigil will not file that thread or sender there again.
  • Vigil never sends on your behalf. It never sends an email or a WhatsApp message to anyone. It can write drafts, and can save a draft into your own mailbox's drafts folder when you ask; a person always reviews and sends.

4. Accounts and your team

You are responsible for who you invite, the role each person has, and keeping sign-in details safe. Each person's own connected mailbox and WhatsApp are private to them; items they file to a project are shared with everyone who can see that project. Tell us promptly at vigil@beansnbeams.com if you think an account has been misused.

5. Connecting email and WhatsApp

You may only connect accounts you are entitled to use for this purpose, and you are responsible for having a lawful basis to let Vigil process the messages in them, including messages written by other people such as clients, contractors and consultants.

  • Email. With your permission Vigil reads your inbox, sent and spam folders, and can read your calendar's free/busy times. It does not delete, move or send mail.
  • WhatsApp. Vigil connects as a linked device of your own WhatsApp account, the same way WhatsApp Web does. This is not an official WhatsApp business integration, and we are not affiliated with WhatsApp or Meta. WhatsApp may restrict or disconnect a linked device or a number at its discretion; you accept that risk when you connect. Vigil reads the groups you link to projects and does not send messages.
  • You can disconnect any account at any time in Settings. Removing a person or company from Vigil disconnects their accounts.

6. AI

Vigil uses artificial intelligence to read, summarise, classify and draft. AI can be wrong: it can misread a document, file an item on the wrong project or miss something. Check anything you rely on before acting on it. Your content is sent to our AI provider only to produce Vigil's output for you, under terms that do not allow the provider to use it to train its models.

7. Plans, credits and payment

During early access, Vigil is provided free of charge, unless we have agreed a price with you in writing. When you move to a paid plan, these terms apply:

  • Plans. Your plan sets the price, the number of connected accounts and the monthly Vigil Credits included, as shown on our pricing page or agreed with you in writing.
  • Credits. Credits measure the AI work Vigil does: reading emails, documents and photos, WhatsApp days, drafts and questions. Plan credits reset each month. Credits you buy as top-ups expire 90 days after purchase.
  • Running out. When credits run out Vigil keeps capturing and storing every email, message and file; it pauses AI reading until you top up or the month resets.
  • Billing. Fees are billed monthly or annually, as chosen, in advance, in Indian rupees, plus GST. They are not refundable except where the law requires. We will give at least 30 days' notice of a price change, which applies from your next billing period.
  • Late payment. If an invoice is unpaid 15 days after its due date, we may suspend access after notice. Capture continues during suspension for 30 days.

8. Your data

Everything you or your connected accounts put into Vigil remains yours. You give us permission to store, process and display it only to provide and support Vigil for you. We do not sell your data or use it to advertise. We may use counts and measurements that identify no person or customer, such as how long a page takes to load, to run and improve Vigil. Our Privacy Policy explains the details.

9. Confidentiality and non-disclosure

This section works both ways, and it applies to everyone in your organisation who uses Vigil.

What is confidential.

  • Ours: everything about Vigil that is not public, including the software, its screens and features, how it works, its AI behaviour, its performance and defects, pricing, plans and roadmap, documentation, and these early-access terms.
  • Yours: your data in Vigil and any non-public information about your business, clients and projects that we learn while providing Vigil.

What each side agrees. The receiving side will:

  1. use the other side's confidential information only for this agreement: you, to evaluate and use Vigil; us, to provide and support it;
  2. not disclose it to anyone except its own employees, contractors and professional advisers who need to know it and are bound by confidentiality duties at least as strict as these, and remain responsible for them;
  3. protect it with at least the care it uses for its own confidential information, and never less than reasonable care.

Because Vigil is unreleased, you also agree not to, without our written permission:

  1. share screenshots, recordings, demonstrations or descriptions of Vigil publicly, on social media, or with any third party;
  2. show or describe Vigil to anyone who builds or sells similar software;
  3. copy, reverse-engineer or decompile Vigil, or use what you learn from it to build or help build a competing product.

What is not confidential: information that is or becomes public without a breach of these terms; that the receiving side already knew without a duty of confidence; that it receives lawfully from someone else free to share it; or that it develops independently. Either side may disclose confidential information when required by law or a court, after giving the other side notice where the law allows.

How long. These duties last while this agreement continues and for 3 years after it ends; for trade secrets and for your data, for as long as they remain confidential. On request when the agreement ends, each side will return or delete the other's confidential information, except copies it must keep by law or that sit in routine backups until they expire.

Remedies. A breach of this section may cause harm that money cannot fully repair, so the affected side may ask a court for an injunction in addition to any other remedy.

10. Security

We protect your data with encryption in transit, access controls, two-factor sign-in, and a permanent record of every action our staff take in our operator tools. Only staff who need to, for support or to keep Vigil running, can access your workspace.

11. Acceptable use

You will not use Vigil to break the law, to process data you have no right to process, to attempt to reach another customer's data, to overload or attack the service, or to resell it without our written agreement.

12. Availability and support

During early access we do not promise any level of availability or response time. Support is available by email at vigil@beansnbeams.com; we reply as soon as we can.

13. Ending the agreement

You can stop using Vigil at any time; on a paid plan, access continues until the end of the period you have paid for. We may end or suspend the agreement if you materially breach these terms and do not fix the breach within 15 days of notice, or immediately for unlawful use or a breach of section 9. After the agreement ends you can request an export of your data for 30 days; after that we delete your workspace, and remove it from backups within 35 days.

14. Limits of liability

Vigil is a tool that helps you see your projects; decisions made with it are yours. To the extent the law allows, neither side is liable for indirect or consequential loss, lost profit or lost data, and our total liability in any 12 months is limited to the fees you paid us in those 12 months, or ₹10,000 if you paid nothing. These limits do not apply to a breach of section 9, or to liability that cannot be limited by law.

15. Your responsibility for connected data

You will compensate us for claims by third parties arising from data you connected or uploaded without the right to do so.

16. Changes to these terms

We may update these terms, in particular when Vigil leaves early access. For a material change we will tell you at least 30 days before it takes effect and ask for your acceptance in Vigil; each version is dated and kept, and Vigil records which version each person accepted and when.

17. Law and disputes

These terms are governed by the laws of India. The competent courts in India have jurisdiction over any dispute.
